Licensing & Administrative Procedures

Company formation and registration changes; foreign investment licences, conditional business licences and other filings with the authorities.

Justix prepares the files and deals with the authorities on your behalf: choosing the right entity and capital structure at formation, registering changes, obtaining the sub-licences that conditional business lines require, and reminding you of post-licensing obligations.

For foreign investors, we assess market-access conditions for your business lines, obtain the Investment Registration Certificate and complete the post-licensing steps so your company can start operating on schedule.

Frequently asked questions

Should I choose a limited liability company or a joint stock company?

An LLC suits a small number of members and simple governance. A joint stock company suits wider fundraising or flexible share transfers. Our lawyers will advise based on your business plan.

How long does it take to set up a company?

Once the file is complete, the business registration office issues the Enterprise Registration Certificate within 3 working days (Article 26, Law on Enterprises 2020). Preparation time depends on whether you have settled the name, capital and business lines.

Is there a minimum charter capital?

Most business lines have no minimum, but some conditional business lines do. Whatever amount you register, members or shareholders must contribute it in full within 90 days of the certificate being issued.

Can a foreign investor own 100% of a company?

Yes, except in business lines where foreign ownership is capped under Vietnam’s list of restricted market-access sectors and its international commitments. Justix checks each business line before filing.
