01Background

The investor needed its plant operating in time for delivery schedules already agreed with international customers, but had no legal entity in Vietnam.

A factory in an industrial park had been chosen, but the investor was unfamiliar with the sequence of procedures, each authority’s processing time and the conditions to meet before production.

02Legal issue

The business line carried environmental and fire-safety conditions, and the investor’s documents had to be legalised abroad.

03What Justix did

  1. 1

    Assessing the project and site

Reviewing the business line, market access conditions, the plant location and environmental and fire-safety requirements.

  2. 2

    Preparing investor documents

Guiding consular legalisation and translation, drafting the project proposal and evidence of financial capacity.

  3. 3

    Obtaining the Investment Registration Certificate

Filing the application, liaising with the investment authority and responding to requests for information.

  4. 4

    Incorporation and capital account

Registering the enterprise, making the company seal, opening the direct investment capital account and guiding timely capital contribution.

04Outcome

The company began operating on the schedule agreed with the investor.

05Legal basis

  • Law on Investment 2020, Articles 37–38 – Investment Registration Certificates
  • Decree 31/2021/ND-CP guiding the Law on Investment
  • Law on Enterprises 2020
  • Circular 06/2019/TT-NHNN on foreign exchange for foreign direct investment

06Takeaways for businesses

  • Start consular legalisation early: it is usually the slowest step.
  • Check the site’s environmental and fire-safety conditions before signing a factory lease.
  • Contribute capital through the direct investment account and within the registered deadline to avoid penalties.
